Terms of Service
Effective September 24, 2026
These terms govern access to and use of the Content Distribution System and related services that ZiaRush deploys and operates for clients (the “Service”). By using the Service, you agree to these terms.
The Service
ZiaRush deploys a Content Distribution System into a client’s business, under the client’s brand, and operates it on the client’s behalf. The specific scope, fees, and service levels for each client are set out in a separate order or agreement, which takes precedence over these terms where they conflict.
Accounts and access
- Clients are responsible for keeping sign-in credentials secure and for activity under their account.
- Clients must have authority to connect any social media account they link to the Service.
Client content and responsibilities
- Clients keep ownership of the content they provide. Clients grant ZiaRush a limited license to host, process, adapt, and publish that content solely to provide the Service.
- Clients are responsible for having the rights to content published through the Service and for complying with the terms and policies of each platform used, including Instagram and Facebook.
- Clients may not use the Service for unlawful, misleading, or infringing content, spam, or to violate platform rules.
AI-generated output
The Service uses AI to produce trend analysis, drafts, and recommendations. Output may be inaccurate or incomplete, and results such as reach or engagement are not guaranteed. Clients remain responsible for reviewing and approving what is published.
Third-party platforms
The Service relies on third-party platforms and APIs, such as Meta’s. ZiaRush is not responsible for changes, outages, or restrictions imposed by those platforms, which may affect the Service.
Intellectual property
ZiaRush owns the Service, including its software, systems, and know-how. Client branding applied to a deployment remains the client’s property. Nothing in these terms transfers ownership of either party’s intellectual property except as stated.
Termination
Either party may end the Service as described in the client’s agreement. ZiaRush may suspend access for material breach of these terms or to protect the Service. On termination, client data is handled as described in our Privacy Policy and Data Deletion page.
Disclaimers and limitation of liability
Except as stated in a client’s agreement, the Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, ZiaRush is not liable for indirect, incidental, or consequential damages, or for lost profits or revenue, arising from use of the Service.
Changes to these terms
We may update these terms from time to time. We will post the new version here and update the effective date above.
